Terms of Use for Riders

These Terms contain an arbitration agreement and class action waiver that apply to all claims brought against Ride in the United States. Please read them carefully.

These Rider Terms of Service (“Terms”) are a binding legal agreement between you and Ride Technologies (“Ride,” “we,” “us,” or “our”) that govern your use of the websites, applications, and other offerings from Ride (collectively, the “Ride Platform”).

  1. The Ride Platform

The Ride Platform offers a marketplace where, among other things, persons who seek transportation to certain destinations (“Riders” or “you”) can be matched with rideshare drivers who are driving to or through those destinations (“Drivers”). Drivers and Riders are collectively referred to as “Users,” and the driving services provided by Drivers to Riders are “Rideshare Services.”

 

As a Rider, you authorize Ride to match you with Drivers based on factors such as your location, the requested pickup location, the estimated time to pickup, your destination, User preferences, driver mode, and platform efficiency, and to cancel an existing match and/or rematch you with a Rider based on the same considerations. Any decision by a User to offer or accept Rideshare Services is a decision made in such User’s sole discretion.

 

Each Rideshare Service provided by a Driver to a Rider shall constitute a separate agreement between such persons. Ride is not a party to the contracts directly between Drivers and Riders, nor is Ride a taxi service or insurer. Ride is not acting as an agent in any capacity for any User.

You must register an account to access and use many features of the Ride Platform, and must keep your account information accurate. You also agree to our Privacy Policy, which describes our collection and use of personal data.

  1. Eligibility

The Ride Platform may only be used by individuals who have the right and authority to enter into these Terms and are fully able and competent to satisfy the terms, conditions, and obligations in these Terms. The Ride Platform is not available to Users who have had their User account temporarily or permanently deactivated. You may not allow other persons to use your User account, and you agree that you are the sole authorized user of your account. To use the Ride Platform, each User shall create a User account. Each person may only create one User account, and Ride reserves the right to deactivate any additional or duplicate accounts. Your participation in certain Ride programs and use of certain Ride products or services may be subject to additional eligibility requirements as determined by Ride.

By becoming a User, you represent and warrant that you are at least 18 years old.

  1. Rider Charges

As a Rider, you understand that requests or use of Rideshare Services may result in charges to you (“Charges”). Charges for Rideshare Services include Fares and other applicable fees, tolls, surcharges, and taxes, plus any tips to the Driver that you elect to pay. Ride has the authority and reserves the right to determine and modify pricing by posting applicable pricing terms or quoting you a price for a specific ride at the time you make a request. Pricing may vary based on the type of service you request (e.g., shared, economy, extra seats, luxury). You are responsible for reviewing the applicable price quote within the Ride Platform and shall be responsible for all Charges incurred under your User account regardless of your awareness of such Charges or the amounts.

Unlike other rideshare company, all Riders will pay Drivers directly for the Fares (plus applicable taxes). Ride does not subtract fees (other than for taxes) from the Rider’s Charges

  • There are two types of Fares, variable and quoted.

Variable Fares. Variable fares consist of a base charge and incremental charges based on the duration and distance of your ride. For particularly short rides, minimum fares may apply. Please note that we use GPS data from your Driver’s phone to calculate the distance traveled on your ride. We cannot guarantee the availability or accuracy of GPS data. If we lose signal, we will calculate time and distance using available data from your ride.

Quoted Fares. In some cases, Ride may quote you a Fare at the time of your request. The quote is subject to change until the ride request is confirmed. If during your ride you change your destination, make multiple stops, or attempt to abuse the Ride Platform, we may cancel the fare quote and charge you a variable fare based on the time and distance of your ride. Ride does not guarantee that the quoted fare price will be equal to a variable fare for the same ride. Quoted Fares may include the Fees and Other Charges below, as applicable.

  • Fees and Other Charges.

Prime Time. At certain times, including times of high demand for Rideshare Services (“Prime Time”), you acknowledge that Charges may increase substantially. For all rides with a variable fare, we will use reasonable efforts to inform you of any Prime Time increases in effect at the time of your request. For Quoted Fares we may factor in the Prime Time increases into the quoted price of the ride.

Cancellation Fee. After requesting a ride you may cancel it through the Ride Platform. If you cancel your ride within 60 second of placing the request, there will be no charge, however, a $5 cancellation fee will apply if you cancel your Ride after 60 seconds from the time you placed the request. You may also be charged up to the full cost of the ride if you fail to show up after requesting a ride.

Tolls. In some instances tolls (or return tolls) may apply to your ride. We do not guarantee that the amount charged by Ride will match the toll charged to the Driver, if any.

Other Charges. Other fees and surcharges may apply to your ride, including: actual or anticipated airport fees, state or local fees, or event fees as determined by Ride or its marketing partners. In addition, where required by law Ride will collect applicable taxes.

Tips. Following a ride, you may elect to tip your Driver in cash or through the Ride Platform. You may also elect to set a default tip amount or percentage through the Ride App. Any tips will be provided entirely to the applicable Driver.

3.3 General.

Facilitation of Charges. Payment processing services are provided by Stripe and subject to the Stripe Connected Account Terms (available at which includes the Stripe Services Terms (available at https://stripe.com/us/legal) (collectively, the “Stripe Terms”). By using the Ride Platform to receive payment proceeds, you agree to be bound by the Stripe Terms, which may be modified from time to time. Ride may replace its third-party payment processor without notice to you. Charges shall only be made through the Ride Platform. With the exception of tips, cash payments are strictly prohibited. Your payment of Charges to Ride satisfies your payment obligation for your use of the Ride Platform and Rideshare Services.

No Refunds. All Charges are non-refundable. This no-refund policy shall apply at all times regardless of your decision to terminate usage of the Ride Platform, any disruption to the Ride Platform or Rideshare Services, or any other reason whatsoever.

Coupons. You may receive coupons that you can apply toward payment of certain Charges upon completion of a Ride. Coupons are only valid for use on the Ride Platform and are not transferable or redeemable for cash except as required by law. Coupons cannot be combined unless expressly provided otherwise, and if the cost of your ride exceeds the applicable credit or discount value we will charge your payment method on file for the outstanding cost of the Ride. For quoted or variable fares, Ride may deduct the amount attributable to the Fare, Tolls, or Other Charges before application of the coupon. Additional restrictions on coupons may apply as communicated to you in a relevant promotion. Unless otherwise noted in the applicable promotion, promotions expire within 30 days.

Credit Card Authorization. Upon addition of a new payment method or each ride request, Ride may seek authorization of your selected payment method to verify the payment method, ensure the ride cost will be covered, and protect against unauthorized behavior. The authorization is not a charge, however, it may reduce your available credit by the authorization amount until your bank’s next processing cycle. Should the amount of our authorization exceed the total funds on deposit in your account, you may be subject to overdraft of NSF charges by the bank issuing your debit or prepaid card. We cannot be held responsible for these charges and are unable to assist you in recovering them from your issuing bank.

  1. Reviews and Ratings.

After each trip is completed, Riders and Drivers will have an opportunity to review or rate each other. Your review and rating must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our policies. Reviews and ratings are not verified by Ride for accuracy and may be incorrect or misleading.

  1. Ride Platform Rules.

5.1 Restricted Activities

With respect to your use of the Ride Platform and your participation in the Rideshare Services, you agree that you will not:

  1. impersonate any person or entity;
  2. stalk, threaten, or otherwise harass any person, or carry any weapons;
  3. violate any law, statute, rule, permit, ordinance or regulation;
  4. interfere with or disrupt the Ride Platform or the servers or networks connected to the Ride Platform;
  5. post information or interact on the Ride Platform or Rideshare Services in a manner which is fraudulent, libelous, abusive, obscene, profane, sexually oriented, harassing, or illegal;
  6. use the Ride Platform in any way that infringes any third party’s rights, including: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  7. post, email or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of the Ride Platform or any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
  8. forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Ride Platform;
  9. “frame” or “mirror” any part of the Ride Platform, without our prior written authorization or use meta tags or code or other devices containing any reference to us in order to direct any person to any other web site for any purpose;
  10. modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Ride Platform;
  11. rent, lease, lend, sell, redistribute, license or sublicense the Ride Platform or access to any portion of the Ride Platform;
  12. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Ride Platform or its contents;
  13. link directly or indirectly to any other web sites;
  14. transfer or sell your User account, password and/or identification, or any other User’s Information to any other party;
  15. discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity or expression, physical or mental disability, medical condition, marital status, age or sexual orientation;
  16. violate any of referral program rules if you participate in the referral program; or
  17. cause any third party to engage in the restricted activities above.

5.2 Reporting Violations. If you believe that a Rider or Driver has violated our Terms, you should report your concerns to Ride. If you reported an issue to local authorities, Ride may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

  1. Term, Termination, Suspension, and other Measures.

6.1 Term. The agreement between you and Ride reflected by these Terms is effective when you access the Ride Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

6.2 Termination. You may terminate these Terms at any time by deleting your account. Ride may terminate this agreement and your account for any reason by giving you 30 days’ notice via email or using any other contact information you have provided for your account. Ride may also terminate or suspend this agreement immediately and without notice and stop providing access to the Ride Platform if you breach these Terms, you violate our policies, you violate applicable laws, you fall below Ride’s star rating or cancellation threshold or we reasonably believe termination is necessary to protect Ride, its Users, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

6.3 User Violations. If (i) you breach these Terms, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Ride believes it is reasonably necessary to protect Ride, its Users, or third parties; Ride may, with or without prior notice:

  • suspend or limit your access to or use of the Ride Platform and/or your account;
  • suspend or remove Reviews or Ratings; or
  • terminate your account.

6.4 Legal Mandates. Ride may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in these Terms.

6.5 Effect of Termination. If your access to or use of the Ride Platform has been limited, or your Ride account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Ride Platform through an account of another User.

Ride may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Ride Platform and update the “Last Updated” date at the top of these Terms. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Ride Platform will constitute acceptance of the revised Terms.

  1. User Accounts.

You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify Ride if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information and (ii) undertake checks designed to help verify your identity or background.

  1. Intellectual Property

All intellectual property rights in the Ride Platform shall be owned by Ride absolutely and in their entirety. These rights include database rights, copyright, design rights (whether registered or unregistered), trademarks (whether registered or unregistered) and other similar rights wherever existing in the world together with the right to apply for protection of the same. All other trademarks, logos, service marks, company or product names set forth in the Ride Platform are the property of their respective owners. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information (“Submissions”) provided by you to us are non-confidential and shall become the sole property of Ride. Ride shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

RIDE and other Ride logos, designs, graphics, icons, scripts and service names are trademarks or trade dress of Ride in the United States and/or other countries (collectively, the “Ride Marks”). The Ride logo (or any Ride Marks) may not be used in any manner that is likely to cause confusion, including but not limited to: use of a Ride Mark in a domain name or Ride referral code, or use of a Ride Mark as a social media handle or name, avatar, profile photo, icon, favicon, or banner.

You acknowledge that Ride is the owner and licensor of the Ride Marks, including all goodwill associated therewith.

You agree that you will not: (1) create any materials that use the Ride Marks or any derivatives of the Ride Marks as a trademark, service mark, trade name or trade dress, other than as expressly approved by Ride in writing; (2) use the Ride Marks in any way that tends to impair their validity as proprietary trademarks, service marks, trade names or trade dress, or use the Ride Marks other than in accordance with the terms, conditions and restrictions herein; (3) take any other action that would jeopardize or impair Ride’s rights as owner of the Ride Marks or the legality and/or enforceability of the Ride Marks, including, challenging or opposing Ride’s ownership in the Ride Marks; (4) apply for trademark registration or renewal of trademark registration of any of the Ride Marks, any derivative of the Ride Marks, any combination of the Ride Marks and any other name, or any trademark, service mark, trade name, symbol or word which is similar to the Ride Marks; (5) use the Ride Marks on or in connection with any product, service or activity that is in violation of any law, statute, government regulation or standard.

You agree you will not rent, lease, lend, sell, or otherwise redistribute the Ride Platform, or manufacture, produce, print, sell, distribute, purchase, or display counterfeit/inauthentic Ride Platforms or other Ride Marks or (including but not limited to signage, stickers, apparel, or decals) from any source other than directly from Ride.

Violation of any provision may result in, in Ride’s sole discretion, a takedown request sent to the appropriate ISP, or social media platform, and/or a Uniform Domain-Name Dispute-Resolution Policy Proceeding (or equivalent proceeding).

Ride respects the intellectual property of others, and expects Users to do the same. If you believe, in good faith, that any materials on the Ride Platform infringe upon your copyrights, please contact us at [email protected].

  1. Disclaimers

The following disclaimers are made on behalf of Ride, its successors and assigns, and each of our respective officers, directors, employees, agents, and shareholders.

Ride does not provide transportation services, and Ride is not a transportation carrier. Ride is not a common carrier or public carrier. It is up to the Driver to decide whether or not to offer a ride to a Rider contacted through the Ride Platform, and it is up to the Rider to decide whether or not to accept a ride from any Driver contacted through the Ride Platform. We cannot ensure that a Driver or Rider will complete an arranged transportation service. We have no control over the quality or safety of the transportation that occurs as a result of the Rideshare Services.

The Ride Platform is provided on an “as is” basis and without any warranty or condition, express, implied, or statutory. We do not guarantee and do not promise any specific results from use of the Ride Platform and/or the Rideshare Services, including the ability to provide or receive Rideshare Services at any given location or time. Ride reserves the right, for example, to limit or eliminate access to the Ride Platform for Rideshare Services in specific geographic areas and/or at specific times based on commercial viability, public health concerns, or changes in law. To the fullest extent permitted by law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

We do not warrant that your use of the Ride Platform or Rideshare Services will be accurate, complete, reliable, current, secure, uninterrupted, always available, or error-free, or will meet your requirements, that any defects in the Ride Platform will be corrected, or that the Ride Platform is free of viruses or other harmful components. We disclaim liability for, and no warranty is made with respect to, connectivity and availability of the Ride Platform or Rideshare Services.

We cannot guarantee that each Rider or Driver is who he or she claims to be. Please use common sense when using the Ride Platform and Rideshare Services, including looking at the photos of the Driver or Rider you have matched with to make sure it is the same individual you see in person. Please note that there are also risks of dealing with underage persons or people acting under false pretense, and we do not accept responsibility or liability for any content, communication or other use or access of the Ride Platform by persons under the age of 18 in violation of these Terms. We encourage you to communicate directly with each potential Driver or Rider prior to engaging in an arranged transportation service.

Ride is not responsible for the conduct, whether online or offline, of any User of the Ride Platform or Rideshare Services. You are solely responsible for your interactions with other Users. We do not procure insurance for, nor are we responsible for, personal belongings left in the car by Drivers or Riders. By using the Ride Platform and participating in the Rideshare Services, you agree to accept such risks and agree that Ride is not responsible for the acts or omissions of Users on the Ride Platform or participating in the Rideshare Services.

You are responsible for the use of your User account and Ride expressly disclaims any liability arising from the unauthorized use of your User account. Should you suspect that any unauthorized party may be using your User account or you suspect any other breach of security, you agree to notify us immediately.

It is possible for others to obtain information about you that you provide, publish or post to or through the Ride Platform (including any profile information you provide), send to other Users, or share during the Rideshare Services, and to use such information to harass or harm you. We are not responsible for the use of any personal information that you disclose to other Users on the Ride Platform or through the Rideshare Services. Please carefully select the type of information that you post on the Ride Platform or through the Rideshare Services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other Users (including unauthorized users, or “hackers”).

Opinions, advice, statements, offers, or other information or content concerning Ride or made available through the Ride Platform, but not directly by us, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. Under no circumstances will we be responsible for any loss or damage resulting from your reliance on information or other content posted by third parties, whether on the Ride Platform or otherwise. We reserve the right, but we have no obligation, to monitor the materials posted on the Ride Platform and remove any such material that in our sole opinion violates, or is alleged to violate, the law or this agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Users or others.

Location data provided by the Ride Platform is for basic location purposes only and is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate or incomplete location data may lead to death, personal injury, property or environmental damage. Neither Ride, nor any of its content providers, guarantees the availability, accuracy, completeness, reliability, or timeliness of location data tracked or displayed by the Ride Platform. Any of your Information, including geolocational data, you upload, provide, or post on the Ride Platform may be accessible to Ride and certain Users of the Ride Platform.

Ride advises you to use the Ride Platform with a data plan with unlimited or very high data usage limits, and Ride shall not be responsible or liable for any fees, costs, or overage charges associated with any data plan you use to access the Ride Platform.

As a Driver, you may be able to use “Ride Nav built by Google” while providing Rideshare Services on the Platform. Riders and Drivers may also use Google Maps while using the Ride App. In either case, you agree that Google may collect your location data when the Ride App is running in order to provide and improve Google’s services, that such data may also be shared with Ride in order to improve its operations, and that Google’s terms and privacy policy will apply to this usage.

Ride shall not be in breach of these Terms nor liable for failure or delay in performing obligations under these Terms if such failure or delay results from events, circumstances or causes beyond its reasonable control including (without limitation) natural disasters or acts of God; acts of terrorism; labor disputes or stoppages; war; government action; epidemic or pandemic; chemical or biological contamination; strikes, riots, or acts of domestic or international terrorism; quarantines; national or regional emergencies; or any other cause, whether similar in kind to the foregoing or otherwise, beyond the party’s reasonable control. All service dates under these Terms affected by force majeure shall be tolled for the duration of such force majeure. The parties hereby agree, when feasible, not to cancel but reschedule the pertinent obligations as soon as practicable after the force majeure condition ceases to exist.

You will defend, indemnify, and hold Ride including our affiliates, successors and assigns, and each of our respective officers, directors, employees, agents, or shareholders harmless from any claims, actions, suits, losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of the Ride Platform and participation in the Rideshare Services, including: (1) your breach of these Terms or the documents it incorporates by reference; (2) your violation of any law or the rights of a third party, including, Drivers, Riders, other motorists, and pedestrians, as a result of your own interaction with such third party; (3) any allegation that any materials that you submit to us or transmit through the Ride Platform or to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (4) your ownership, use or operation of a motor vehicle or passenger vehicle, including your provision of Rideshare Services as a Driver; and/or (5) any other activities in connection with the Rideshare Services. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.

  1. Limitations on Liability.

IN NO EVENT WILL RIDE, INCLUDING OUR AFFILIATES, SUCCESSORS AND ASSIGNS, AND EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SHAREHOLDERS (COLLECTIVELY “RIDE” FOR PURPOSES OF THIS SECTION), BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE Ride PLATFORM, SERVICE INTERRUPTIONS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE RIDE PLATFORM, RIDESHARE SERVICES, OR THESE TERMS, HOWEVER ARISING INCLUDING NEGLIGENCE, EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

In no event will Ride’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, the Ride Platform, Rideshare Services exceed: (A) to Riders, the amount you paid as a Rider during the 6-month period prior to the event giving rise to the liability, (B) to Drivers, the amount you paid to Ride in the 6-month period prior to the event giving rise to the liability, or (C) to anyone else, one hundred U.S. dollars (US$100).

These limitations of liability and damages are fundamental elements of the agreement between you and Ride. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

  1. Confidentiality

You agree not to use any technical, financial, strategic and other proprietary and confidential information relating to Ride’s business, operations and properties, information about a User made available to you in connection with such User’s use of the Platform, which may include the User’s name, pick-up location, contact information and photo (“Confidential Information”) disclosed to you by Ride for your own use or for any purpose other than as contemplated herein. You shall not disclose or permit disclosure of any Confidential Information to third parties, and you agree not to store separate and outside of the Ride Platform any User Information obtained from the Ride Platform. You agree to take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information of Ride in order to prevent it from falling into the public domain. Notwithstanding the above, you shall not have liability to Ride with regard to any Confidential Information which you can prove: was in the public domain at the time it was disclosed by Ride or has entered the public domain through no fault of yours; was known to you, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure; is disclosed with the prior written approval of Ride; becomes known to you, without restriction, from a source other than Ride without breach of this Agreement by you and otherwise not in violation of Ride’s rights; or is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided, however, that you shall provide prompt notice of such court order or requirement to Ride to enable Ride to seek a protective order or otherwise prevent or restrict such disclosure.

  1. Governing Law and Venue.

These Terms will be interpreted in accordance with the laws of the State Georgia and the United States of America, without regard to conflict-of-law provisions. All claims must be brought in state or federal court in Fulton county, Georgia or Atlanta, Georgia, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Fulton county, Georgia and Atlanta, Georgia, USA.

  1. No Class Actions or Jury Trials.

You and Ride acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, private attorney general action, or any other representative or consolidated proceeding and we also agree to waive our rights to trial by jury and will only agree to a bench trial, if any litigation makes it to that point.

16.1 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between Ride and you pertaining to your access to or use of the Ride Platform and supersede any and all prior oral or written understandings or agreements between Ride and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and Ride. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated these Terms, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

16.2 No Waiver. Ride’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

16.3 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without Ride’s prior written consent. Ride may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.

16.4 Third-Party Services. The Ride Platform may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Ride is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

16.5 Google Terms. Some areas of the Ride Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

16.6 Apple Terms. If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Terms.

Terms of Service for Drivers

These Terms contain an arbitration agreement and class action waiver that apply to all claims brought against Ride in the United States. Please read them carefully.

These Driver Terms of Service (“Terms”) are a binding legal agreement between you and Ride Technologies (“Ride,” “we,” “us,” or “our”) that govern your use of the websites, applications, and other offerings from Ride (collectively, the “Ride Platform”).

  1. The Ride Platform

The Ride Platform offers a marketplace where, among other things, persons who seek transportation to certain destinations (“Riders”) can be matched with rideshare drivers who are driving to or through those destinations (“Drivers” or “you”). Drivers and Riders are collectively referred to as “Users,” and the driving services provided by Drivers to Riders are “Rideshare Services.”

 

As a Driver, you authorize Ride to match you with Riders based on factors such as your location, the requested pickup location, the estimated time to pickup, your destination, User preferences, driver mode, and platform efficiency, and to cancel an existing match and/or rematch you with a Rider based on the same considerations. Any decision by a User to offer or accept Rideshare Services is a decision made in such User’s sole discretion.

 

Each Rideshare Service provided by a Driver to a Rider shall constitute a separate agreement between such persons. Ride is not a party to the contracts directly between Drivers and Riders, nor is Ride a taxi service or insurer. Ride is not acting as an agent in any capacity for any User.

You must register an account to access and use many features of the Ride Platform, and must keep your account information accurate. You also agree to our Privacy Policy, which describes our collection and use of personal data.

If you are a Driver, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Rideshare Services.

  1. Eligibility

The Ride Platform may only be used by individuals who have the right and authority to enter into these Terms are fully able and competent to satisfy the terms, conditions, and obligations in these Terms. The Ride Platform is not available to Users who have had their User account temporarily or permanently deactivated. You may not allow other persons to use your User account, and you agree that you are the sole authorized user of your account. To use the Ride Platform, each User shall create a User account. Each person may only create one User account, and Ride reserves the right to deactivate any additional or duplicate accounts. Your participation in certain Ride programs and use of certain Ride products or services may be subject to additional eligibility requirements as determined by Ride.

By becoming a User, you represent and warrant that you are at least 18 years old.

  1. Driver Payments and Charges

3.1. Driver Fare. You are entitled to a Driver Fare for the Rideshare Services you perform for Riders. The “Driver Fare” for a completed ride consists of a base fare or pickup fare amount plus incremental amounts based on the actual time and distance of the ride, as measured by Ride. The applicable base fare, pickup fare, and/or time and distance amounts are shown in a rate card (the “Rate Card”) in your Driver dashboard. If expressly provided in your Rate Card, you may earn incremental amounts based on the actual time and distance between the time you accept a ride request and the time you pick up the Rider. The Rate Card amounts displayed in your driver dashboard are personal to you. The Rate Card amounts may vary by including but not limited to by factors such as the market where you provide Rideshare Services or pick up a particular ride, the date you applied or became approved as a Driver, the vehicle type you use, and the type of service you are providing (for example, economy, shared, extra seats, or luxury). The rates from the market in which you pick up the Rider will apply to that ride. Please note that some larger markets have different rates for different sub-regions within the larger market. In that case, the rates from the sub-region in which you pick up the Rider will apply to that ride. In certain situations, the Driver Fare may be predetermined (such as a flat rate trip), or subject to certain minimum or maximum amounts as described to you in your Rate Card. In some situations where a Rider cancels a ride request that you have accepted, you may earn a cancellation fee. In those cases, you will earn a Driver Fare in the amount of the cancellation payment set forth in your Rate Card. If additional Riders cancel when you’re already in a ride, such as in a shared ride, you will be paid for the time and distance of your current route and Ride will retain any additional cancellation charges incurred by the Rider. For a shared ride you may pick up several Riders along a common route. In such situations: (i) the rates from the region of the first pick up will apply to the full route, and (ii) the fare calculation shall only include one base fare amount for the route (however, you may be able to earn additional incremental pickup fares along the same route if expressly stated in the Rate Card). Your Rate Card may not be set or available to you until you are an approved driver, and you agree Ride makes no representation or warranties concerning the Rate Card amounts. Your Rate Card amounts are subject to change in Ride’s discretion and any changes shall be published on the Rate Card. By continuing to use the Ride Platform, you are deemed to accept these changes.

3.2. Additional Payments to Drivers. In addition to the Driver Fare, you will receive the following payments, if applicable: (i) any tips provided by a Rider to you, (ii) any tolls or surcharges we collect for remittance to you, and (ii) any incentives you earn based on your provision of Rideshare Services.

3.3. Payments and Taxes. We will use reasonable efforts to ensure that your Driver Fare and any other payments to you will be paid to you within 3 business days of completing a paid ride. You acknowledge and agree that all payments owed to you shall not include any interest and will be net of any amounts that we are required to withhold by law.

3.4. Ride Fees. In order to use the Ride Platform to facilitate the Rideshare Services that you provide to Riders, you agree to pay Ride (“the Ride Fees“) as described below, which may change at any time without notice:

Riders may choose to pay Ride through purchasing Ride credits on a per-trip basis at the following rates, purchased in a minimum of $7.50 increments on a “use it or lose it” basis. Ride credits expire 1 year from the date they were purchased.

Riders may also choose to Ride’s subscription plan, which allows unlimited trips during the applicable period and at the following rates depending on how Ride has categorized your car in Ride’s sole discretion as follows, plus, every transaction will have a 30-cent transaction charge:

**Daily Fees provide access to the Ride Platform for 24 hours from the time you purchase the access, not from the time you accept your first ride after paying the Daily Fee.

In addition, Ride may charge you other fees on a one-time, recurring or periodic basis. The amount of such fees may vary by market or other factors and shall be communicated to you in advance of incurring the fee.

3.5. Payment Processing. Payment processing services are provided by Stripe and subject to the Stripe Connected Account Terms (available at which includes the Stripe Services Terms (available at https://stripe.com/us/legal) (collectively, the “Stripe Terms”). By using the Ride Platform to receive payment proceeds, you agree to be bound by the Stripe Terms, which may be modified from time to time. As a condition of Ride enabling payment processing services through Stripe, you authorize Ride to obtain all necessary access and perform all necessary activity on your Stripe Connected Account to facilitate your provision of Rideshare Services as contemplated by the Terms and your relationship with Ride. You further agree to provide accurate and complete information about you and your business, and authorize Ride to share it and transaction information with Stripe for the purposes of facilitating the payment processing services provided by Stripe. Ride reserves the right to switch payment processing vendors or use alternate or backup vendors in its discretion.

3.6. Receipts. You understand and agree to Ride sending Riders receipts detailing their fees for the Rideshare Services you provide.

3.7 Promotions and Coupons. Ride may, at its discretion, offer promotional or other Coupons to Riders. If a Rider has a promotional offer, you will receive a Ride credit from Ride for part of the value of the promotional offer. However, you cannot redeem Ride credits for cash and Ride credits must be used within 1 year or they will expire.

3.8. No Additional Amounts. You acknowledge and agree that, for the mutual benefit of the parties, through advertising and marketing, Ride may seek to generate additional demand for your Rideshare Services from new and existing Riders. You acknowledge and agree such advertising or marketing does not entitle you to any additional monetary amounts beyond the amounts expressly set forth in these Terms.

  1. Driver Representations, Warranties, and Agreements

By providing Rideshare Services as a Driver on the Ride Platform, you represent, warrant, and agree that:

  1. You possess a valid driver’s license and are authorized and medically fit to operate a motor vehicle and have all appropriate licenses, approvals and authority to provide transportation to Riders in all jurisdictions in which you provide Rideshare Services.
  2. You own, or have the legal right to operate, the vehicle you use when providing Rideshare Services; such vehicle is in good operating condition and meets the industry safety standards and all applicable statutory and state department of motor vehicle requirements for a vehicle of its kind; and any and all applicable safety recalls have been remedied per manufacturer instructions.
  3. You will not engage in reckless behavior while driving, drive unsafely, operate a vehicle that is unsafe to drive, permit an unauthorized third party to accompany you in the vehicle while providing Rideshare Services, provide Services as a Driver while under the influence of alcohol or drugs, or take action that harms or threatens to harm the safety of the Ride community or third parties.
  4. You will only provide Rideshare Services using the vehicle that has been reported to, and approved by Ride, and for which a photograph has been provided to Ride, and you will not transport more passengers than can securely be seated in such vehicle (and no more than seven (7) passengers in any instance).
  5. You will not, while providing the Rideshare Services, operate as a public or common carrier or taxi service, accept street hails, charge for rides (except as expressly provided in these Terms), demand that a rider pay in cash, or use a credit card reader, such as a Square Reader, to accept payment or engage in any other activity in a manner that is inconsistent with your obligations under these Terms.
  6. You will not attempt to defraud Ride or Riders on the Ride Platform or in connection with your provision of Rideshare Services. If we suspect that you have engaged in fraudulent activity we may withhold applicable Fares or other payments for the ride(s) in question and take any other action against you available under the law.
  7. You will not discriminate against Riders with disabilities. You will make reasonable accommodation as required by law for Riders who travel with their service animals or who use wheelchairs (or other mobility devices) that can be folded for safe and secure storage in the car’s trunk or backseat.
  8. You agree that we may obtain information about you, including your criminal and driving records, and you agree to provide any further necessary authorizations to facilitate our access to such records during the term of these Terms.
  9. You have a valid policy of liability insurance (in coverage amounts consistent with all applicable legal requirements) that names or schedules you for the operation of the vehicle you use to provide Rideshare Services.
  10. You will pay all applicable federal, state and local taxes based on your provision of Rideshare Services and any payments received by you.
  1. Your Assumption of RiskYou acknowledge that driving and providing driving or transportation services carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the Ride Platform, offering Rideshare Services, or any interaction you have with other Users or Riders whether in person or online. You agree that you have had the opportunity to investigate the Ride Platform and any laws, rules, regulations, or obligations that may be applicable to the Rideshare Services and that you are not relying upon any statement of law made by Ride.
  2. Driver Relationship with Ride.

As a Driver on the Ride Platform, you acknowledge and agree that you and Ride are in a direct business relationship, and the relationship between the parties under these Terms is solely that of independent contracting parties. You and Ride expressly agree that (1) this is not an employment agreement and does not create an employment relationship between you and Ride; and (2) no joint venture, franchisor-franchisee, partnership, or agency relationship is intended or created by these Terms. You have no authority to bind Ride, and you undertake not to hold yourself out as an employee, agent or authorized representative of Ride.

Ride does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms specifically, including in connection with your provision of Rideshare Services, your acts or omissions, or your operation and maintenance of your vehicle. You retain the sole right to determine when, where, and for how long you will utilize the Ride Platform. Ride does not, and shall not be deemed to, unilaterally prescribe specific dates, times of day, or any minimum number of hours for you to utilize the Ride Platform. You retain the option to accept or to decline or ignore a Rider’s request for Rideshare Services via the Ride Platform, or to cancel an accepted request for Rideshare Services via the Ride Platform, subject to Ride’s then-current cancellation policies. Ride does not, and shall not be deemed to, require you to accept any specific request for Rideshare Services as a condition of maintaining access to the Ride Platform. With the exception of any signage required by law or permit/license rules or requirements, Ride shall have no right to require you to: (a) display Ride’s names, logos or colors on your vehicle(s); or (b) wear a uniform or any other clothing displaying Ride’s names, logos or colors. You acknowledge and agree that you have complete discretion to provide Rideshare Services or otherwise engage in any other business or employment activities, including but not limited to providing services similar to the Rideshare Services to other companies, and that Ride does not, and shall not be deemed to, restrict you from engaging in any such activity.

  1. Ride Cancellations.

In general, Riders may cancel their ride request for free within 1 minute from placing their request. If a Rider cancels their ride request after 1 min then, depending on the estimated rate, a cancellation fee of $5-$10 will automatically apply to the Riders who cancel. The applicable cancellation fee will go to the Driver, minus reasonable fees such as taxes and transaction charges that may be up to 30% of the total value.

7.1 Driver Taxes. As a Driver, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, any applicable income or other taxes (“Taxes”).

7.2 Collection and Remittance by Ride. In jurisdictions where Ride facilitates the collection and/or remittance of Taxes on behalf of Drivers, you instruct and authorize Ride to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Ride are identified to Users on their transaction records, as applicable. Ride may seek additional amounts from Users (including by deducting such amounts from future payouts) in the event that the Taxes collected and/or remitted are insufficient to fully discharge that Users’ tax obligations, and you agree that your sole remedy for Taxes collected by Ride is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Users, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

7.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Ride may issue on your behalf invoices or similar documentation for taxes for your Rideshare Services to facilitate accurate tax reporting by you and our Riders.

  1. Reviews and Ratings.

After each trip is completed, Riders and Drivers will have an opportunity to review or rate each other. Your review and rating must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our policies. Reviews and ratings are not verified by Ride for accuracy and may be incorrect or misleading.

  1. Ride Platform Rules.

9.1 Restricted Activities

With respect to your use of the Ride Platform and your participation in the Rideshare Services, you agree that you will not:

  1. impersonate any person or entity;
  2. stalk, threaten, or otherwise harass any person, or carry any weapons;
  3. violate any law, statute, rule, permit, ordinance or regulation;
  4. interfere with or disrupt the Ride Platform or the servers or networks connected to the Ride Platform;
  5. post Information or interact on the Ride Platform or Rideshare Services in a manner which is fraudulent, libelous, abusive, obscene, profane, sexually oriented, harassing, or illegal;
  6. use the Ride Platform in any way that infringes any third party’s rights, including: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  7. post, email or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of the Ride Platform or any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
  8. forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Ride Platform;
  9. “frame” or “mirror” any part of the Ride Platform, without our prior written authorization or use meta tags or code or other devices containing any reference to us in order to direct any person to any other web site for any purpose;
  10. modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Ride Platform;
  11. rent, lease, lend, sell, redistribute, license or sublicense the Ride Platform or access to any portion of the Ride Platform;
  12. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Ride Platform or its contents;
  13. link directly or indirectly to any other web sites;
  14. transfer or sell your User account, password and/or identification, or any other User’s Information to any other party;
  15. discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity or expression, physical or mental disability, medical condition, marital status, age or sexual orientation;
  16. violate any of the Referral Program rules if you participate in the Referral Program; or
  17. cause any third party to engage in the restricted activities above.

9.2 Reporting Violations. if you believe that a Rider or Driver has violated our Terms, you should report your concerns to Ride. If you reported an issue to local authorities, Ride may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

  1. Term, Termination, Suspension, and other Measures.

10.1 Term. The agreement between you and Ride reflected by these Terms is effective when you access the Ride Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

10.2 Termination. You may terminate this agreement at any time by sending us an email or by deleting your account. Ride may terminate this agreement and your account for any reason by giving you 30 days’ notice via email or using any other contact information you have provided for your account. Ride may also terminate this agreement and or suspend your account immediately and without notice and stop providing access to the Ride Platform if you breach these Terms, you violate our policies, you violate applicable laws, you fall below Ride’s star rating or cancellation threshold or we reasonably believe termination is necessary to protect Ride, its Users, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

10.3 User Violations. If (i) you breach these Terms, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Ride believes it is reasonably necessary to protect Ride, its Users, or third parties; Ride may, with or without prior notice:

  • suspend or limit your access to or use of the Ride Platform and/or your account;
  • suspend or remove Reviews or Ratings; or
  • terminate your account.

10.4 Legal Mandates. Ride may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in these Terms.

10.5 Effect of Termination. If your access to or use of the Ride Platform has been limited, or your Ride account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Ride Platform through an account of another User.

Ride may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Ride Platform and update the “Last Updated” date at the top of these Terms. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Ride Platform will constitute acceptance of the revised Terms.

  1. Resolving Complaints and Damage Claims.

You agree that Ride may seek to recover from you under any insurance policies you maintain and that Ride may also pursue against you any remedies it may have available under applicable law. You agree to cooperate in good faith, provide any information Ride requests, execute documents, and take further reasonable action, in connection with any Rider or User complaints, or claims, including, but not limited to, taking action under your insurance policies for any claims related to your provision of Rideshare Services.

  1. User Accounts.

You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify Ride if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

  1. Intellectual Property

All intellectual property rights in the Ride Platform shall be owned by Ride absolutely and in their entirety. These rights include database rights, copyright, design rights (whether registered or unregistered), trademarks (whether registered or unregistered) and other similar rights wherever existing in the world together with the right to apply for protection of the same. All other trademarks, logos, service marks, company or product names set forth in the Ride Platform are the property of their respective owners. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information (“Submissions”) provided by you to us are non-confidential and shall become the sole property of Ride. Ride shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

RIDE and other Ride logos, designs, graphics, icons, scripts and service names are trademarks or trade dress of Ride in the United States and/or other countries (collectively, the “Ride Marks”). If you provide Rideshare Services as a Driver, Ride grants to you, during the term of this Agreement, and subject to your compliance with the terms and conditions of this Agreement, a limited, revocable, non-exclusive license to display and use the Ride Marks solely on the Ride stickers/decals, Ride Amp, and any other Ride-branded items provided by Ride directly to you in connection with providing the Rideshare Services (“License”). The License is non-transferable and non-assignable, and you shall not grant to any third party any right, permission, license or sublicense with respect to any of the rights granted hereunder without Ride’s prior written permission, which it may withhold in its sole discretion. The Ride logo (or any Ride Marks) may not be used in any manner that is likely to cause confusion, including but not limited to: use of a Ride Mark in a domain name or Ride referral code, or use of a Ride Mark as a social media handle or name, avatar, profile photo, icon, favicon, or banner. You may identify yourself as a Driver on the Ride Platform, but may not misidentify yourself as Ride, an employee of Ride, or a representative of Ride.

You acknowledge that Ride is the owner and licensor of the Ride Marks, including all goodwill associated therewith, and that your use of the Ride logo (or any Ride Marks) will confer no interest in or ownership of the Ride Marks in you but rather inures to the benefit of Ride. You agree to use the Ride logo strictly in accordance with Ride’s Brand Guidelines, as may be provided to you and revised from time to time, and to immediately cease any use that Ride determines to nonconforming or otherwise unacceptable.

You agree that you will not: (1) create any materials that use the Ride Marks or any derivatives of the Ride Marks as a trademark, service mark, trade name or trade dress, other than as expressly approved by Ride in writing; (2) use the Ride Marks in any way that tends to impair their validity as proprietary trademarks, service marks, trade names or trade dress, or use the Ride Marks other than in accordance with the terms, conditions and restrictions herein; (3) take any other action that would jeopardize or impair Ride’s rights as owner of the Ride Marks or the legality and/or enforceability of the Ride Marks, including, challenging or opposing Ride’s ownership in the Ride Marks; (4) apply for trademark registration or renewal of trademark registration of any of the Ride Marks, any derivative of the Ride Marks, any combination of the Ride Marks and any other name, or any trademark, service mark, trade name, symbol or word which is similar to the Ride Marks; (5) use the Ride Marks on or in connection with any product, service or activity that is in violation of any law, statute, government regulation or standard.

You agree you will not rent, lease, lend, sell, or otherwise redistribute the Ride driver amp, or manufacture, produce, print, sell, distribute, purchase, or display counterfeit/inauthentic Ride driver amps or other Ride Marks or (including but not limited to signage, stickers, apparel, or decals) from any source other than directly from Ride.

Violation of any provision of this License may result in immediate termination of the License, in Ride’s sole discretion, a takedown request sent to the appropriate ISP, or social media platform, and/or a Uniform Domain-Name Dispute-Resolution Policy Proceeding (or equivalent proceeding). If you create any materials (physical or digital) bearing the Ride Marks (in violation of this Agreement or otherwise), you agree that upon their creation Ride exclusively owns all right, title and interest in and to such materials, including any modifications to the Ride Marks or derivative works based on the Ride Marks or Ride copyrights. You further agree to assign any interest or right you may have in such materials to Ride, and to provide information and execute any documents as reasonably requested by Ride to enable Ride to formalize such assignment.

Ride respects the intellectual property of others, and expects Users to do the same. If you believe, in good faith, that any materials on the Ride Platform infringe upon your copyrights, please contact us at [email protected].

The following disclaimers are made on behalf of Ride, its successors and assigns, and each of our respective officers, directors, employees, agents, and shareholders.

Ride does not provide transportation services, and Ride is not a transportation carrier. Ride is not a common carrier or public carrier. It is up to the Driver to decide whether or not to offer a ride to a Rider contacted through the Ride Platform, and it is up to the Rider to decide whether or not to accept a ride from any Driver contacted through the Ride Platform. We cannot ensure that a Driver or Rider will complete an arranged transportation service. We have no control over the quality or safety of the transportation that occurs as a result of the Rideshare Services.

The Ride Platform is provided on an “as is” basis and without any warranty or condition, express, implied, or statutory. We do not guarantee and do not promise any specific results from use of the Ride Platform and/or the Rideshare Services, including the ability to provide or receive Rideshare Services at any given location or time. Ride reserves the right, for example, to limit or eliminate access to the Ride Platform for Rideshare Services in specific geographic areas and/or at specific times based on commercial viability, public health concerns, or changes in law. To the fullest extent permitted by law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

We do not warrant that your use of the Ride Platform or Rideshare Services will be accurate, complete, reliable, current, secure, uninterrupted, always available, or error-free, or will meet your requirements, that any defects in the Ride Platform will be corrected, or that the Ride Platform is free of viruses or other harmful components. We disclaim liability for, and no warranty is made with respect to, connectivity and availability of the Ride Platform or Rideshare Services.

We cannot guarantee that each Rider or Driver is who he or she claims to be. Please use common sense when using the Ride Platform and Rideshare Services, including looking at the photos of the Driver or Rider you have matched with to make sure it is the same individual you see in person. Please note that there are also risks of dealing with underage persons or people acting under false pretense, and we do not accept responsibility or liability for any content, communication or other use or access of the Ride Platform by persons under the age of 18 in violation of these Terms. We encourage you to communicate directly with each potential Driver or Rider prior to engaging in an arranged transportation service.

Ride is not responsible for the conduct, whether online or offline, of any User of the Ride Platform or Rideshare Services. You are solely responsible for your interactions with other Users. We do not procure insurance for, nor are we responsible for, personal belongings left in the car by Drivers or Riders. By using the Ride Platform and participating in the Rideshare Services, you agree to accept such risks and agree that Ride is not responsible for the acts or omissions of Users on the Ride Platform or participating in the Rideshare Services.

You are responsible for the use of your User account and Ride expressly disclaims any liability arising from the unauthorized use of your User account. Should you suspect that any unauthorized party may be using your User account or you suspect any other breach of security, you agree to notify us immediately.

It is possible for others to obtain information about you that you provide, publish or post to or through the Ride Platform (including any profile information you provide), send to other Users, or share during the Rideshare Services, and to use such information to harass or harm you. We are not responsible for the use of any personal information that you disclose to other Users on the Ride Platform or through the Rideshare Services. Please carefully select the type of information that you post on the Ride Platform or through the Rideshare Services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other Users (including unauthorized users, or “hackers”).

Opinions, advice, statements, offers, or other information or content concerning Ride or made available through the Ride Platform, but not directly by us, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. Under no circumstances will we be responsible for any loss or damage resulting from your reliance on information or other content posted by third parties, whether on the Ride Platform or otherwise. We reserve the right, but we have no obligation, to monitor the materials posted on the Ride Platform and remove any such material that in our sole opinion violates, or is alleged to violate, the law or this agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Users or others.

Location data provided by the Ride Platform is for basic location purposes only and is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate or incomplete location data may lead to death, personal injury, property or environmental damage. Neither Ride, nor any of its content providers, guarantees the availability, accuracy, completeness, reliability, or timeliness of location data tracked or displayed by the Ride Platform. Any of your Information, including geolocational data, you upload, provide, or post on the Ride Platform may be accessible to Ride and certain Users of the Ride Platform.

Ride advises you to use the Ride Platform with a data plan with unlimited or very high data usage limits, and Ride shall not be responsible or liable for any fees, costs, or overage charges associated with any data plan you use to access the Ride Platform.

As a Driver, you may be able to use “Ride Nav built by Google” while providing Rideshare Services on the Platform. Riders and Drivers may also use Google Maps while using the Ride App. In either case, you agree that Google may collect your location data when the Ride App is running in order to provide and improve Google’s services, that such data may also be shared with Ride in order to improve its operations, and that Google’s terms and privacy policy will apply to this usage.

Ride shall not be in breach of these Terms nor liable for failure or delay in performing obligations under these Terms if such failure or delay results from events, circumstances or causes beyond its reasonable control including (without limitation) natural disasters or acts of God; acts of terrorism; labor disputes or stoppages; war; government action; epidemic or pandemic; chemical or biological contamination; strikes, riots, or acts of domestic or international terrorism; quarantines; national or regional emergencies; or any other cause, whether similar in kind to the foregoing or otherwise, beyond the party’s reasonable control. All service dates under these Terms affected by force majeure shall be tolled for the duration of such force majeure. The parties hereby agree, when feasible, not to cancel but reschedule the pertinent obligations as soon as practicable after the force majeure condition ceases to exist.

You will defend, indemnify, and hold Ride including our affiliates, successors and assigns, and each of our respective officers, directors, employees, agents, or shareholders harmless from any claims, actions, suits, losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of the Ride Platform and participation in the Rideshare Services, including: (1) your breach of these Terms or the documents it incorporates by reference; (2) your violation of any law or the rights of a third party, including, Drivers, Riders, other motorists, and pedestrians, as a result of your own interaction with such third party; (3) any allegation that any materials that you submit to us or transmit through the Ride Platform or to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (4) your ownership, use or operation of a motor vehicle or passenger vehicle, including your provision of Rideshare Services as a Driver; and/or (5) any other activities in connection with the Rideshare Services. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.

  1. Limitations on Liability.

IN NO EVENT WILL RIDE, INCLUDING OUR AFFILIATES, SUCCESSORS AND ASSIGNS, AND EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SHAREHOLDERS (COLLECTIVELY “RIDE” FOR PURPOSES OF THIS SECTION), BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE Ride PLATFORM, SERVICE INTERRUPTIONS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE RIDE PLATFORM, RIDESHARE SERVICES, OR THESE TERMS, HOWEVER ARISING INCLUDING NEGLIGENCE, EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

In no event will Ride’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, the Ride Platform, Rideshare Services exceed: (A) to Riders, the amount you paid as a Rider during the 6-month period prior to the event giving rise to the liability, (B) to Drivers, the amount you paid to Ride in the 6-month period prior to the event giving rise to the liability, or (C) to anyone else, one hundred U.S. dollars (US$100).

These limitations of liability and damages are fundamental elements of the agreement between you and Ride. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

  1. Confidentiality

You agree not to use any technical, financial, strategic and other proprietary and confidential information relating to Ride’s business, operations and properties, information about a User made available to you in connection with such User’s use of the Platform, which may include the User’s name, pick-up location, contact information and photo (“Confidential Information”) disclosed to you by Ride for your own use or for any purpose other than as contemplated herein. You shall not disclose or permit disclosure of any Confidential Information to third parties, and you agree not to store separate and outside of the Ride Platform any User Information obtained from the Ride Platform. As a Driver, you understand that some of Rider Information you receive may be protected by federal and/or state confidentiality laws, such as the Health Information Portability and Accountability Act of 1996 (“HIPAA”), governing the privacy and security of protected (patient) health information. In the event that you know a Rider, you should not disclose to anyone the identity of the Rider or the location that you picked up, or dropped off the Rider, as this could violate HIPAA. You understand that any violation of the Agreement’s confidentiality provisions may violate HIPAA or state confidentiality laws and could result in civil or criminal penalties against you. You agree to take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information of Ride in order to prevent it from falling into the public domain. Notwithstanding the above, you shall not have liability to Ride with regard to any Confidential Information which you can prove: was in the public domain at the time it was disclosed by Ride or has entered the public domain through no fault of yours; was known to you, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure; is disclosed with the prior written approval of Ride; becomes known to you, without restriction, from a source other than Ride without breach of this Agreement by you and otherwise not in violation of Ride’s rights; or is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided, however, that You shall provide prompt notice of such court order or requirement to Ride to enable Ride to seek a protective order or otherwise prevent or restrict such disclosure.

  1. Governing Law and Venue.

These Terms will be interpreted in accordance with the laws of the State Georgia and the United States of America, without regard to conflict-of-law provisions. All claims must be brought in state or federal court in Fulton county, Georgia or Atlanta, Georgia, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Fulton county, Georgia and Atlanta, Georgia, USA.

  1. No Class Actions or Jury Trials.

You and Ride acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, private attorney general action, or any other representative or consolidated proceeding and we also agree to waive our rights to trial by jury and will only agree to a bench trial, if any litigation makes it to that point.

21.1 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between Ride and you pertaining to your access to or use of the Ride Platform and supersede any and all prior oral or written understandings or agreements between Ride and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and Ride. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated these Terms, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

21.2 No Waiver. Ride’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

21.3 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without Ride’s prior written consent. Ride may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.

21.4 Third-Party Services. The Ride Platform may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Ride is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

21.5 Google Terms. Some areas of the Ride Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

21.6 Apple Terms. If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Terms.
